Shenzhen Securities*Communication Co., L*d (SSCC)

甲乙雙方就乙方為甲方安裝建立一套實(shí)時(shí)開戶通信系統(tǒng)并為甲方提供日后的通信運(yùn)行服務(wù)事項(xiàng)，達(dá)成合同條款如下：
The seller agrees to sell, and the buyer agrees to buy the Online Securities Account Opening System (OSAOS) according to the terms and conditions stipulated below:

一、 甲方義務(wù) The buyer’s obligations
具備一條用于連接深圳市證券通*公司通信中心的電話線或DDN線路。并針對(duì)不同的線路，分別購(gòu)買用于接入的設(shè)備：MODEM或路由器（CISCO 26系列）。The buyer needs to prepare a telephone or a DDN line for connecting the Communication Center of SSCC, and to buy the connecting equipment according to the line prepared: Modem or Router.
準(zhǔn)備一臺(tái)CPU主頻500MHZ以上、內(nèi)存64M以上、硬盤500M以上并安裝中文NT操作系統(tǒng)的品牌PC機(jī)。The buyer needs to buy a computer with a minimum capacity of 500MHZ CPU, 64M MEM, 500M HD installed with Chinese NT operation system.
具備符合中*證券登記結(jié)算公司深圳分公司要求的軟件及硬件環(huán)境。The software and the hardware used by the buyer shall accord with the specifications prescribed by China Securities Depository and Clearing Corporation Limited (CSDCC).
為乙方的安裝調(diào)試工作提供必要的協(xié)助。The buyer shall offer necessary assistance to the On-site installation technicians sent by the seller.
正確使用和操作該通信系統(tǒng)。The buyer shall use the OSAOS in a proper and correct way.
按時(shí)支付合同規(guī)定的各項(xiàng)費(fèi)用。The buyer shall pay the charges according to the contract without delay.

二、 乙方義務(wù) The seller’s obligations
1、提供專用的實(shí)時(shí)開戶通信軟件一套，并負(fù)責(zé)提供用戶軟件的更新升級(jí)。 The seller needs to provide a set of OSAOS software, and to be responsible for the upgrading of this software.
2、按照甲方的要求，在收到工程安裝款后十天內(nèi)負(fù)責(zé)安裝調(diào)試該通信系統(tǒng)或指導(dǎo)甲方自行安裝本系統(tǒng)?，F(xiàn)場(chǎng)安裝人員的食宿費(fèi)由乙方自理。The seller needs to be responsible for the On-site installation or to instruct the buyer to install the system according to the buyer’s request within 10 days after receiving the payment from the buyer.
3、提供與本通信系統(tǒng)相關(guān)的技術(shù)資料并指導(dǎo)用戶正確操作使用。The seller needs to provide the buyer the documents of the OSAOS, and to instruct the buyer to use the system properly.
4、負(fù)責(zé)為該通信系統(tǒng)的日常運(yùn)行和維護(hù)提供技術(shù)咨詢服務(wù)。The seller needs to be responsible for supporting the buyer’s daily operation and technical enquiry about the system.

三、 合同款及付款方式 The charges of the contract and the method of the payments
（一）合同款The charges of the contract：
A工程安裝及設(shè)備款The charges of the installation and the software：
1、實(shí)時(shí)開戶通信軟件一套，價(jià)格為HK$10000元。The charge of the software of the OSAOS is Hk$10000.00.
2、安裝調(diào)試費(fèi)用為HK$3000元。甲方如自行安裝，則乙方不收取此項(xiàng)費(fèi)用，但乙方應(yīng)
提供有效的安裝指南文件并負(fù)責(zé)通過電話進(jìn)行指導(dǎo)釋疑。請(qǐng)甲方在此確認(rèn)：The charge of the On-site installation is HK$3000.00. In case the buyer chooses to install the system by himself, the seller will not charge on it.
是否需要乙方提供現(xiàn)場(chǎng)安裝服務(wù)：是； 否 （甲方在“”打“√”選定）Choose the On-site installation by put “√” in “”.

 B系統(tǒng)運(yùn)行維護(hù)費(fèi)The charge of Operation and Maintenance(O&M)：
每套系統(tǒng)每月的運(yùn)行維護(hù)費(fèi)為HK$500元（港幣伍佰元）。The charge of O&M is HK$500.00 per month.
（二）付款方式The method of the payment：
1、甲方應(yīng)以電匯方式按本合同指定的帳戶向乙方支付合同有關(guān)款項(xiàng)。The buyer shall
pay for the charges according to the contract by means of T*T remittance.
2、工程安裝費(fèi)、設(shè)備款及當(dāng)年剩余月份的運(yùn)行維護(hù)費(fèi)（按安裝系統(tǒng)的下一個(gè)月計(jì)至年底）應(yīng)在合同簽定后一周內(nèi)一次性支付。The buyer shall pay for the charge of installation, software and the charge of O&M for the rest months this year within one week after signed the contract.
3、甲方應(yīng)在每年1月份內(nèi)一次性交納本年度12個(gè)月的運(yùn)行維護(hù)費(fèi)（HK$6000元）。The buyer shall pay HK$6000 for a whole year’s charge of O&M in January every year.


四、 違約責(zé)任 Liability for breach of the contract
若甲方不按期足額支付工程款，乙方有權(quán)認(rèn)為甲方放棄執(zhí)行本合同，同意解除合同。In case the buyer does not pay the charges of the contract on time, the seller has the right to regard that the buyer terminates the contract.
若甲方不按期支付運(yùn)行維護(hù)費(fèi)，乙方有權(quán)自逾期付款之日起終止對(duì)甲方繼續(xù)提供相應(yīng)通信服務(wù)內(nèi)容。In case the buyer dose not pay the charge of O&M on time , the seller has the right to stop providing the services prescribed by the contract.
乙方承諾將實(shí)時(shí)開戶的有關(guān)數(shù)據(jù)、文件無(wú)附加延遲地傳遞給甲方及中*證券登記結(jié)算公司深圳分公司。倘若遇到自然災(zāi)害、戰(zhàn)爭(zhēng)、政府政策變動(dòng)等不可抗力造成通信系統(tǒng)發(fā)生中斷，則乙方應(yīng)在第一時(shí)間向甲方說(shuō)明事故原因，并提供證據(jù)。對(duì)此不可抗力造成的小概率故障，乙方不承擔(dān)直接或間接賠償損失的責(zé)任。The seller consents to transfer the datum and the documents of the OSAOS without additional delay. If, due to a Force Majeure event (including nature disaster, war, the act of the government, etc) the seller fails to provide the normal service, the seller will not take the responsibility to compensate the buyer’s loss. But the seller shall report the situation to the buyer in time.
對(duì)于由于第三方原因造成通信系統(tǒng)發(fā)生中斷事故時(shí)，甲、乙雙方均有責(zé)任敦促第三方予以妥善解決，直至共同追訴第三方的法律責(zé)任。In case there occurs a communication accident caused by a third party, both the buyer and the seller have the responsibility to urge the third party to solve the problem suitably.

五、 爭(zhēng)議解決 Resolution of disputes
凡因本合同引起或與本合同有關(guān)的任何爭(zhēng)議，雙方應(yīng)協(xié)商解決。協(xié)商未獲解決的，可將爭(zhēng)議提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)深圳分會(huì)，按照仲裁程序進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。In event any dispute arises in connecting with the contract, the parties shall attempt in the first instance to resolve such disputes through friendly consultations. If the disputes is not resolved in this manner, either party may submit the disputes to the branch of China International Economic and Trade Arbitration Commission in Shenzhen for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration. The arbitration shall take place in Shenzhen, The arbitral award is final and binding upon both parties.

六、 其它 Others
本合同一式兩份，雙方各執(zhí)一份。The contract has two originals, each party holds one.
本合同的中、英文發(fā)生歧義時(shí)，以中文為準(zhǔn)。In case the understandings are different in this contract,it will subject to the understanding in Chinese finally.
合同自簽字之日起正式生效。This contract will become effective after both parties signed the contract.
