三、辦理程序III.Procedures

第一步：申請人持相關材料向市政務服務中心工商局窗口提出申請，經受理審查員初審通過，開具《受理通知書》或者《申請材料接收單》;不符合受理條件的，在當場或者5個工作日內一次性告知申請人應當補正的全部材料(出具告知單)。Step1:TheapplicantshallsubmitrelevantapplicationmaterialstotheservicewindowoftheMunicipalAdministrationofIndustry&CommercewithintheMunicipalGovernmentAffairsServiceCenter.Havingpassedthroughthepreliminaryinspection,theinspectorwilldrawaNotificationofAcceptanceoraReceiptofApplicationMaterials.Forthoseapplicationsunqualifiedforacceptance,allmaterialstobesupplementedshallbeinformedtotheapplicantonthespotorwithin5workingdays(anotificationshallbeissued).

2.指定代表或者共同委托代理人的證明CertificationontheDesignatedRepresentativeorJointlyEntrustedAgent

3.全體投資人的資格證明復印件Copiesofqualificationcertificatesofallinvestors

4.其他有關文件、證件;Otherrelevantdocumentsandcertificates;

3.以上文件是外文的，需提交加蓋翻譯單位公章的中文翻譯件。Iftheabovedocumentsarewritteninaforeignlanguage,Chinesetranslationversionshouldbesubmitted,stampedbytherelatedtranslationorganizations.

4.企業申請預先核準的名稱(字號)在同行業中是否重復，是否符合《企業名稱登記管理規定》第六、七、八條要求。Whetherthename(brand)appliedforpriorapprovalisrepeatedintheindustryorisconformitywiththerequirementsspecifiedinarticle6,7and8ofProvisionsontheAdministrationofEnterpriseNameRegistration.

5.企業申請在預先核準的名稱中冠以“中國”、“中華”、“全國”、“國際”等字樣的，需國務院決定。IncaseanenterpriseappliesforpriorapprovalofanamebegunwithChinesecharacterslike“中國(China)”,“中華(Chinese)”,“全國(National)”and“國際(International)”,itshallbedecidedbytheStateCouncil.

6.企業申請在預先核準的名稱中間使用(中國)的，應符合下列條件：外商獨資企業或外方控股企業;使用外方出資企業字號;符合無行政區劃的條件。IncaseanenterpriseappliesforpriorapprovalofuseofChinesecharacters中國(China)amiditsname,thefollowingrequirementsshallbemet:exclusivelyforeign-ownedenterpriseorforeignholdingenterprise;usenameoftheforeignenterprisewhichmakescontribution;noadministrativedivisioninvolved.

7.企業申請無行政區劃的名稱應符合《企業名稱登記管理規定實施辦法》第十三條規定。Incaseofapplicationforenterprisenamewithoutadministrativedivision,article13ofMeasuresfortheImplementationofProvisionsonAdministrationofEnterpriseNameRegistrationshallbeobserved.

8.企業申請預先核準的名稱中不使用國民經濟行業類別用語表述的，應符合《企業名稱登記管理規定實施辦法》第十八條規定。Incaseofapplicationforpriorapprovalofenterprisenamewithoutexpressionofnationaleconomyindustrycategoryterms,article18ofMeasuresfortheImplementationofProvisionsonAdministrationofEnterpriseNameRegistrationshallbeobserved.

9.企業申請預先核準的名稱中的行業表述應代表其主要經營范圍，企業名稱不應當明示或者暗示有超越其經營范圍的業務。Industryexpressioninthenameappliedforpriorapprovalshallrepresentitsbusinessscopeandtheenterpriseshallnotexpressorimplyitsinvolvementofbusinessbeyonditsbusinessscope.

10.企業申請的名稱預先核準和變更核準通知書有效期為6個月，有效期滿仍未登記或使用，核準的名稱自動失效。Priorapprovalofnameandnotificationofalterationapprovalshallbevalidfor6months,andtheapprovednamewillloseefficacyautomaticallyifithasn’tbeenregisteredoruseduponexpirationofitsvalidityterm.

3.投資人有正當理由，可以申請《外商投資企業名稱預先核準通知書》有效期延期一次(六個月)，經延期的《外商投資企業名稱預先核準通知書》不得再延期。TheinvestorcanapplyforextensionofthetermofvalidityofNotificationonPriorApprovaloftheNameofForeign-CapitalEnterprisefor6monthswithjustcausesandtheextendedNotificationonPriorApprovaloftheNameofForeign-CapitalEnterprisecannotbeextendedanymore.

4.《外商投資企業名稱預先核準通知書》的延期應當在有效期滿前一個月內申請辦理，申請延期時需繳回《外商投資企業名稱預先核準通知書》原件。ExtensionofthetermofvalidityofNotificationonPriorApprovaloftheNameofForeign-CapitalEnterpriseshallbeappliedfor1monthbeforeexpirationofitstermofvalidity.OriginalNotificationonPriorApprovaloftheNameofForeign-CapitalEnterpriseshallbehandedinwhenapplyingforextension.
